4. Accounts, Registrations & Administration

CollabWorkx is not responsible for errors or delays caused by outdated or incorrect information provided by users.
5. Public User Submissions

By submitting Public User Submissions, users grant CollabWorkx a license to access, use, copy, reproduce, process, adapt, publish, transmit, host, and display those submissions for lawful business purposes, including promoting CollabWorkx services and sites.
Users are responsible for ensuring they have the rights and permissions needed for any Public User Submissions they submit.
6. Intellectual Property & License
CollabWorkx retains ownership of platform materials, technology, trademarks, and service assets.
The Service and Sites, including software, APIs, design, text, photographs, illustrations, videos, artwork, names, logos, trademarks, and related technology, are CollabWorkx Materials owned by CollabWorkx or its licensors, excluding Customer Data.
Access Rights
Subject to these Terms, CollabWorkx grants a limited, worldwide, non-exclusive, non-transferable right to access and use the Service during the applicable subscription term for internal purposes.
Feedback
Suggestions, comments, feature requests, or other feedback may be used, implemented, or rejected by CollabWorkx without restriction or obligation.
8. Third-Party Services, Integrations & Links
The Service may enable users to engage third-party applications, tools, services, products, widgets, APIs, or links.
CollabWorkx acts as an intermediary platform for third-party services and does not control or endorse them. Third-party services are governed by separate provider terms, privacy policies, and payment arrangements. Users are responsible for compliance with applicable privacy laws and restrictions when enabling integrations or allowing data exchange with third parties.
Third-party risk: CollabWorkx is not responsible for third-party service operability, security, reliability, data protection, processing practices, or provider acts and omissions.
9. Subscription Term, Renewal, Fees & Refunds
CollabWorkx services may be provided on monthly or annual subscription plans.
- Subscription fees are generally stated in U.S. dollars and may be charged through the selected payment method.
- Fees are generally non-cancelable and non-refundable unless expressly stated.
- Taxes are excluded unless otherwise stated and may be added to subscription fees.
- Subscriptions may be upgraded by adding users, features, add-ons, or longer terms.
- Subscriptions renew automatically by default unless canceled or auto-renewal is disabled before expiration.
- Promotional discounts may renew at full applicable subscription fees unless otherwise agreed.
- Credits may apply to services only and generally have no monetary, exchange, transfer, or refund value.
- Chargebacks may result in disabled or terminated service access until amounts owed are paid.
Refund policy: Customers can downgrade services within the service month. Refunds are prorated and applied to the new billing cycle as credits.
10. Term, Termination & Suspension
These Terms remain in effect until the underlying service ends or is otherwise terminated.
Either party may terminate for material breach if not cured within a reasonable cure period, or if the other party ceases operations or becomes subject to certain insolvency proceedings. Customers may terminate subscriptions by canceling service or deleting the account, subject to payment obligations through the end of the subscription term unless otherwise agreed.
CollabWorkx may suspend accounts or user profiles if use creates security risk, harm, legal exposure, payment delinquency, breach of these Terms, breach of law, or violation of the Acceptable Use Policy.
11. Confidentiality
Each party may receive non-public confidential information from the other party.
Customer Data is treated as Customer Confidential Information. CollabWorkx site, service, trial service, pre-release services, underlying technology, performance information, reports, and evaluation materials are treated as CollabWorkx Confidential Information. Receiving parties must use reasonable measures to prevent unauthorized disclosure and limit access on a need-to-know basis.
12. Customer Data
Customer Data includes data, files, attachments, text, images, reports, personal information, and other content uploaded or submitted to the Service.
Customers retain all right, title, interest, and control in Customer Data as submitted to the Service. Subject to these Terms, customers grant CollabWorkx a limited license to access, use, process, copy, distribute, perform, export, display, and reformat Customer Data solely to provide, maintain, secure, support, investigate, comply with lawful process, or as otherwise expressly permitted in writing.
No sensitive data unless separately authorized: Users must not submit special-category data, protected health information subject to HIPAA unless a separate Business Associate Agreement is in place, or payment card data subject to PCI DSS.
